1. Policy Overview & Guiding Principles
Effective Date: March 16, 2026. At NexFyla (operated by Nexfyla LLC), our mission is to empower global entrepreneurs to launch, manage, and scale their businesses in the United States with complete transparency, institutional security, and speed.
Because our fulfillment engine triggers immediate legal document drafting, automated name reservation searches, state compliance filings, and irreversible statutory disbursements with state Secretaries of State and the Internal Revenue Service (IRS), our refund policy is designed to be fair, explicit, and mutually protective.
2. Situations Where a Refund or Account Credit is Warranted
NexFyla may offer a monetary refund or equivalent account credit under the following qualifying conditions:
- Pre-Filing Cancellation: If you request cancellation before NexFyla has submitted your Articles of Organization or state charter to the Secretary of State, we will refund our service fee minus an administrative processing fee ($50).
- State Filing Error Attributable to NexFyla: If an error on your filed corporate documents was caused solely by NexFyla's clerical mistake, we will re-file at our expense or refund our service fee.
- Duplicate Payment: If you were accidentally charged twice for the same transaction due to a technical error, the duplicate charge will be refunded immediately in full.
3. Situations Where Refunds Are NOT Offered
Refunds are strictly excluded in the following circumstances:
- Disbursed State Statutory Filing Fees: State government filing fees (e.g., $102 for Wyoming, $110 for Delaware) are disbursed directly to government treasuries and are 100% non-refundable by law once submitted.
- Completed Filings: Once the Secretary of State has approved and stamped your Articles of Organization, our formation fulfillment obligation is complete and service fees are non-refundable.
- Third-Party Bank Rejections: While NexFyla guarantees compliance documentation, approval of business bank accounts (Mercury, Relay, Chase) rests exclusively with third-party underwriting teams. Account rejections do not constitute grounds for a formation refund.
- Client Non-Responsiveness / Default: Failure to provide requested passport verification, identity documents, or signature authorizations within statutory deadlines.
4. Subscriptions, Automatic Renewals & Annual Reports
Annual registered agent services and compliance subscriptions renew annually. You may cancel your subscription at any time prior to the annual renewal billing date via your client portal. Renewal fees already processed are non-refundable once the renewed statutory term commences.
5. Processing Timelines & Chargeback Warning
Approved refunds are processed to the original payment method within 5 to 10 business days. Initiating an unauthorized chargeback or payment dispute without contacting our compliance team breaches our Terms of Service and will result in immediate suspension of registered agent services and resignation of statutory representation.
