1. Electronic Communications Agreement & Affirmative Consent
Effective Date: March 16, 2026. This Electronic Disclosure and Consent Agreement (“Consent”) applies to all communications, agreements, disclosures, notices, statements, and records (“Communications”) provided by Nexfyla LLC (“NexFyla”) in connection with our services, in strict compliance with the federal Electronic Signatures in Global and National Commerce Act (E-SIGN Act, 15 U.S.C. ยง 7001 et seq.) and the Uniform Electronic Transactions Act (UETA).
2. Scope of Covered Communications
By registering for an account, submitting a company formation order, or signing documents on the NexFyla platform, you affirmatively consent to receive electronically all notices and disclosures, including:
- Our Terms of Service, Privacy Policy, and legal fee disclosures.
- Official state formation documents, Articles of Organization, and Secretary of State receipts.
- IRS filings, Form SS-4 EIN applications, and CP-575 confirmation letters.
- Statutory legal notices, registered agent Service of Process deliveries, and annual compliance alerts.
- Billing invoices, payment receipts, and subscription renewal notices.
3. Methods of Delivering Electronic Communications
We deliver Communications electronically through one or more of the following channels: (a) sending an email to your designated primary email address; (b) posting notifications or making documents available for download within your secure founder dashboard; or (c) sending SMS/WhatsApp status alerts where authorized.
4. Legal Effect & Enforceability of Electronic Signatures
You agree that any electronic signature, digital checkbox acknowledgment, or electronic click-through consent executed by you on the NexFyla platform has the exact same legal validity, binding enforceability, and effect as a physical handwritten signature executed on paper.
5. Hardware & Software Technical Requirements
To access and retain electronic Communications, you must possess a computing device with internet connectivity, a modern web browser supporting 128-bit encryption (Chrome, Firefox, Safari, Edge), an active email account, and software capable of reading Portable Document Format (PDF) files (such as Adobe Acrobat Reader).
6. Right to Withdraw Consent & Paper Copies
You have the right to request paper copies of legally required documents by contacting [email protected] (subject to document printing and courier fees). You may withdraw consent to electronic communications at any time, but doing so may result in termination of your client portal account.
