1. Preamble & Partner Agreement
Effective Date: March 16, 2026. These Partner Program and Formation API Terms of Service (“Partner Terms”) govern participation in the NexFyla Partner Ecosystem, affiliate referral program, wholesale B2B reseller program, and Formation API integrations operated by Nexfyla LLC (“NexFyla”).
2. Partner Eligibility & Compliance (KYC)
Participation is open to verified digital agencies, law firms, accounting consultancies, incubator platforms, and business content creators. All partners must complete our business verification review. NexFyla reserves the right to reject or revoke partner status for any participant engaging in deceptive marketing or violating anti-spam regulations.
3. Referral Commissions & Wholesale Pricing
Partners earn referral commissions or access discounted wholesale pricing on eligible company formation and compliance packages as specified in their partner dashboard agreement. Commissions are calculated on net service fees (excluding government state filing fees and statutory third-party disbursements) and paid out monthly via international bank wire or PayPal.
4. Permitted Marketing & Brand Usage Guidelines
Partners may use approved NexFyla logos, badges, and marketing assets strictly for promoting the Services. Partners are strictly prohibited from: (a) bidding on NexFyla trademark terms or variations in paid search (Google Ads, Bing); (b) making false claims regarding guaranteed bank approvals or tax evasion; and (c) sending unsolicited bulk email (SPAM).
5. Formation API License & Integration Standards
For technology partners utilizing the NexFyla Formation API, NexFyla grants a revocable, non-exclusive, non-transferable license to integrate company formation and compliance endpoints. API partners must ensure end-user customer identification data transmitted via the API complies with all applicable privacy regulations.
6. Termination & Program Inactivation
Either party may terminate the partner relationship at any time upon written notice. Upon termination, partner tracking links and API access are disabled, and all outstanding accrued commissions will be disbursed in the next regular billing cycle.
